3. What types of data are collected?

4.  Sources used to collect personal data:
Personal data is collected by Centurium Bank in the course of its activities, before entering into a contractual relationship and for the duration of the contractual relationship with the Data Subject.
UB Suisse uses different methods to collect personal data, including:
Direct interactions – In general, Centurium Bank collects personal data about Data Subjects directly from those Data Subjects, from Related Persons, or from people with whom UB Suisse interacts the contractual relationship (e.g. the Contracting Party, the Prospect or the User of the online functionalities).
Automated technologies or automated interactions – If a Data Subject interacts electronically with Centurium Bank, for example through the Centurium Bank website, online banking service, the latter may automatically collect personal data using cookies or similar technologies. Third parties or publicly available sources – To the extent permitted by law, Centurium Bank also collects personal data about Data Subjects from third parties such as banks and financial institutions, or from public sources such as the Internet , print media, electronic media, social media, social networks, commercial or other public records, public authorities, professional databases, or providers of information, investigation or reporting services . With regard to recruitment candidates, Centurium Bank also collects information provided, for example, by recruitment firms. 
 
5. Purposes of processing personal data
The Centurium Bank Group Entities process personal data in accordance with the legal provisions in force. The personal data is processed for one of the purposes indicated below or for any purpose linked and/or incidental to any of the purposes mentioned below, or for any other purpose for which the personal data was provided to Centurium Bank, or any other instructions given by the Data Subject.
a) Necessity of data processing for the conclusion or performance of a contract with Centurium Bank 
Personal data is processed by Centurium Bank for the purposes of executing a contract concluded between Centurium Bank and the Data Subject. Personal data is also processed by Centurium Bank before entering into a contract with the Data Subject, in order to take steps – at the request of the Data Subject – to enter into a contractual relationship.
The contracts concerned may, for example, fall into the following categories: 
• Offer and provision of banking and financial services, such as the maintenance and management of a bank account, asset and wealth management services, advice, execution and transaction services relating to securities, execution of payment orders, online services (such as solutions or applications), or global custody and reporting services
• Information technologies information and outsourcing of business processes such as back-office services
• Provision of fund administration services
• Provision of general information on wealth planning
• Contracts with third parties such as external asset managers, business providers or external service providers 
• Employment contracts and other contracts with personnel
b) Compliance with the legal obligations to which Centurium Bank is subject 
Centurium Bank processes personal data in order to comply with its legal obligations. For the avoidance of doubt, it is specified that legal obligations, including legal provisions regarding data protection applicable to Centurium Bank Group Entities, are defined by national and/or international law and national regulations issued by the competent supervisory authorities (hereinafter “ the Legal Provisions in force ”). These legal provisions determine in particular the obligations in the following areas:
• Banking and asset management activities, such as the application of individual tests of suitability and/or sustainability of investments, the obligation to inform the competent authorities securities held and shareholder rights, and credit protection.
• Combating money laundering and terrorist financing, such as identifying the contracting party, beneficial owner, persons signing contractual documentation on behalf of an entity, establishing origin funds, the financial and family situation of the holder and beneficiary of an account, the exercise of due diligence on the information obtained (including with regard to the monitoring of transactions) or even the obligation to report to the competent authorities in the event of suspicion of money laundering 
• Reporting to the central bank such as statistical data on assets under management 
• Regulatory and tax reporting 
• Recording of telephone calls and emails 
• Centurium Bank acting as an employer under applicable labor law 
c) Legitimate interests pursued by Centurium Bank or by a third party 

Centurium Bank processes personal data in order to (i) preserve its legitimate/overriding interests or (ii) legitimate/overriding interests third parties (for example Centurium Bank Group Entities) in accordance with applicable local legislation.
The above-mentioned legitimate/overriding interests include, among others:

• compliance with legal obligations defined in national and/or international law and in national regulations, issued by the competent national supervisory authorities, provided that they are not not already covered in point 6.b 
• maintaining an adequate level of network and information security 
• maintaining an adequate level of security of Centurium Bank premises through the installation of video surveillance 
• prevention of unauthorized access to Centurium Bank premises, sensitive areas, IT systems (for example computers), etc. through the establishment of badge systems 
• reporting to the relevant authorities potential criminal acts or possible threats to public security, including through the transmission of relevant personal data
• the prevention of fraud
• the transmission of personal data within the Centurium Bank Group for internal administrative purposes, consolidated compliance and risk management 
• the defense of the interests of Centurium Bank in the event of civil, administrative, criminal or regulatory complaints, and litigation

• advertising, marketing and sales activities for the purposes of developing the Centurium Bank Group's business (in this regard, please refer to point 15 relating to the Data Subjects' right to object)
• Centurium Bank acting as employer for aspects not covered in point 6.b
d) Consent of the Data Subject to the processing of their personal data 
In certain cases, the processing of personal data is only permitted if the Data Subject has given Centurium Bank consent to the processing of such data. In accordance with the Legal Regulations, the consent of the Data Subject may, for example, be required if Centurium Bank is to process special categories of personal data, such as data concerning the health of the Data Subject (e.g. in the context of participation of the Data Subject to a sporting or culinary event organized by Centurium Bank) or if the Data Subject must participate in automated decisions (see point 10).
When obtaining consent to the processing of personal data is necessary, the Data Subject will be informed personally by Centurium Bank.

Consent to the processing of personal data granted by a Data Subject may be revoked by that Person at any time. Such revocation will only be valid for the future and will not apply retroactively to the processing of personal data carried out prior to the declaration of revocation.
 
8. Period of retention of personal data

Centurium Bank keeps personal data within the limits of the purposes for which the data was collected and processed. 
With regard to the retention periods of personal data, the Entities of the Centurium Bank Group apply to their activities a policy in accordance with the legal provisions in force. Retention periods are defined in legal provisions with regard to, for example:
• the fight against money laundering and the financing of terrorism 
• contractual obligations 
• tax obligations
• regulatory obligations
In certain cases, Centurium Bank may be entitled to retain the data for a longer period, in particular if obliged to do so by measures taken by judicial or supervisory authorities requiring the continued processing and retention of the data.
Centurium Bank is also authorized to retain and process personal data for the duration of ongoing civil, administrative, criminal or regulatory proceedings, in order to defend its interests. 
 
9.  Recipients of personal data

Personal data relating to a Data Subject is disclosed by Centurium Bank in accordance with the legal provisions in force. Centurium Bank may have to disclose personal data to the following persons/parties:
Members of staff of Centurium Bank – Centurium Bank has taken appropriate technical and organizational measures to ensure that personal data is only disclosed to members of staff (e.g. employees and auxiliaries) responsible for fulfilling, on behalf of Centurium Bank, the contractual, legal and supervisory obligations to which Centurium Bank is subject in connection with the disclosure of personal data. Staff members to whom personal data is disclosed are contractually subject to applicable legal confidentiality obligations as well as banking and commercial secrecy.
Third party processing data – Centurium Bank may disclose personal data to a third party acting as a data processing service provider for Centurium Bank, in the context of delegation and outsourcing relationships (it may, for example, Centurium Bank Group Entities, other third parties such as customer relationship management service providers used by Centurium Bank Group Entities in connection with asset management activities and fortune, cloud service providers, IT system providers, email service providers or IT development service providers). Centurium Bank contractually commits this third party data processing service provider to take all appropriate technical and organizational measures to ensure that this personal data is only disclosed to members of the staff of this third party data processing service provider who are responsible for the execution of the contract concluded with Centurium Bank.
Other third parties – Centurium Bank may disclose personal data to third parties other than data processing service providers in the context of its legal and regulatory obligations as well as its obligations arising from contracts concluded with Contracting Parties. The third parties in question may be, for example: 
• national or foreign judicial, administrative or supervisory authorities 
• national or foreign stock exchanges and brokers 
• national or foreign central banks, correspondent banks and custodian banks
• transaction registers and national or foreign central data repositories
• issuers of securities or financial products, collective investment vehicles and their agents
• other counterparties
• auditors, professional advisors and lawyers
• external assessment bodies or third party certifiers 
 
10.  Transmission of personal data abroad

Centurium Bank may transfer personal data to recipients established or domiciled outside the jurisdictions in which the Centurium Bank entities with which the Data Subject has established contact or relationship are located, based on the provisions provided for by the regulations relevant applicable legal provisions, in particular, but not exclusively, in the following cases:
• Compliance with contractual obligations towards Contracting Parties, for example the execution of payment orders or securities transaction orders (SWIFT) 
• Legal obligations to which Centurium Bank is subject, or otherwise applying within the framework of its activities, for example in connection with reporting obligations under the CRS (please note that Centurium Bank transmits personal data to the competent national authorities, with the final transfer abroad, to the competent foreign authorities, being carried out by competent national authorities) 
• Transfer of personal data to third parties processing data (including data processors within the group) within the framework of delegation and outsourcing relationships 
• Consent granted to Centurium Bank by the Data Subject, for example in the context of reporting obligations under the FATCA regulations
The places of activity of the recipients to which Centurium Bank may transfer personal data are as follows:
• All countries where Centurium Bank operates (see point 1 above), in particular Switzerland and Luxembourg, where the Group's headquarters and the regulated entity Centurium Bank Services (Europe) SA, acting under the of Financial Sector Professionals (PFS), and where certain general services are outsourced by Group entities.
• Jurisdictions in which you hold financial investments (for example, in securities, currencies or financial instruments, including derivatives or collective investment vehicles) and in which you carry out transactions (for example, payments , securities transactions or other transactions), in connection with the financial and banking services provided by Centurium Bank
• The jurisdictions in which the relevant national authorities supervise the activities of Centurium Bank.
• Switzerland and countries in the European Economic Area where third-party subcontractors operate.
• Certain other jurisdictions where third-party processors operate for the provision of specific financial and banking services subject to particular conditions (for example, proxy voting services on publicly traded securities in the United States) or for the provision of certain business services.
When Centurium Bank transfers personal data to a country or territory that does not offer an appropriate level of data protection with regard to the Legal Provisions, the transfer and processing of said data is accompanied by appropriate security measures, in particular contractual clauses standard or ad hoc, binding corporate rules or other legal mechanisms and, where applicable, additional technical or organizational measures, to ensure that such transfer takes place in compliance with applicable data protection rules .
Under the legal provisions in force, Centurium Bank may provide the Data Subject, upon request, with a copy of the security measures thus implemented. The request must be sent to Banque UB Suisse in Geneva (see contact details in point 2), for the Data Protection Advisor of the Centurium Bank Group. 
 
11. Existence of automated decision-making

Within the meaning of the legal provisions in force, an automated decision generally refers to a decision which is based solely on automated processing, without any human intervention, and which produces legal effects for the Data Subject or has a significant impact on the Data Subject. Within the framework of the applicable legal provisions, automated decision-making is permitted when it is necessary to enter into a contractual relationship with a Data Subject or to execute a contract concluded with a Data Subject. 
The Persons concerned in this regard will be informed personally by Centurium Bank.
 
12.  Existence of profiling

Within the framework of the legal provisions in force, profiling generally refers to any form of automated processing of personal data intended to evaluate certain personal aspects relating to a Data Subject, in particular to analyze or predict certain aspects and create personality profiles. concerning the economic situation, personal preferences, interests, reliability, behavior, state of mind, location or movements of the Data Subject.
Centurium Bank also uses profiling to analyze certain aspects with a view to providing Data Subjects with personalized advice and offers or information about our services and products (e.g. with regard to the use of the online functions made available by or linked to Centurium Bank). We may also use systems that allow us to identify risks related to contracting parties or activities on an account.
In addition, Centurium Bank uses cookies that remember the preferences of a Data Subject and facilitate the use of its website by the Data Subject (see also the Centurium Bank Cookie Policy).
 
13. Obligation to provide personal data by Data Subjects

The provision of certain personal data constitutes a legal and/or contractual requirement for the purposes of entering into and maintaining a contractual relationship with Centurium Bank. In accordance with the legal provisions in force regarding the fight against money laundering and the financing of terrorism, Centurium Bank is notably required to identify its Contracting Party and the beneficial owner or the person controlling the assets deposited with, or managed by Centurium BankCenturium Bank is also required by law to keep personal data up to date, so the Data Subject is obliged to notify Centurium Bank of any changes to their relevant personal data. 
 
14. Consequences of a failure to transmit personal data to UB Suisse

If the Contracting Party is not willing to provide Centurium Bank with the required personal data before entering into a contractual relationship, Centurium Bank will not be able to conclude a contract with that Data Subject.
 
If the Contracting Party does not communicate to Centurium Bank the required personal data during the duration of the contractual relationship with Centurium Bank, the latter may be required to terminate the contractual relationship. 
 
15 . Rights of Data Subjects

Any Data Subject whose personal data is processed by Centurium Bank may exercise, within the limits provided by the legal provisions in force, the rights mentioned below regarding the processing of their personal data.
Requests in this matter must be addressed to the Centurium Bank Entity with which the Data Subject maintains a contractual relationship or with which he or she was in contact before entering into a contractual relationship.
